Modem Pay Terms of Service

Welcome to Modem Pay. These Terms of Service (“Terms”) describe the agreement between you (referred to as “you,” “user,” or “merchant”) and Modem Pay (“we,” “our,” or “us”) — a platform built to help businesses and entrepreneurs in Gambia and surrounding regions accept and manage payments more efficiently.

By signing up for or using any of our services, you agree to these Terms. If you do not agree, you may not use Modem Pay.

1. What We Do

Modem Pay is a digital payment solution that enables you to accept payments through mobile money, bank transfers, cards, and more. We also provide tools like payment links, a merchant dashboard, and developer APIs to make payment management seamless and intuitive.

2. Who Can Use Modem Pay

  • You must be 18 or older, or legally allowed to enter into a contract.
  • Your business must be registered or recognized in Gambia.
  • All information you provide during sign-up must be accurate and current.
  • You must comply with all laws that apply to your business and financial activity.

3. Creating an Account

To get started, you’ll need to create a Modem Pay account by providing some basic details about your business. You’re responsible for keeping your account secure and your login information private.

If you ever notice unauthorized activity on your account, please notify us immediately. While we’ll do our best to assist, we can’t be held responsible for losses resulting from unauthorized access.

4. Our Services

  • Payment Processing: Receive payments from customers through supported channels.
  • Payment Links: Easily generate links to collect payments.
  • Merchant Dashboard: Track transactions, manage your business, and configure settings.
  • Transfers: Send money to your bank, another merchant, or a mobile wallet.
  • Developer Tools: Access SDKs and APIs to embed Modem Pay into your app or website.

We may introduce new features or update existing ones — and when we do, we’ll inform you through email or inside the platform.

5. Fees and Charges

Modem Pay charges processing fees based on the type of payment, transaction volume, and other factors. We’ll always make our pricing clear before you’re charged.

You’re also responsible for any applicable taxes or charges related to your business’s use of our platform.

6. Supported Payment Methods

  • Bank Accounts: Link and move money between your Modem Pay account and your bank.
  • Mobile Wallets: Add mobile wallets to accept or send funds.
  • Cards: Where available, customers can also pay using debit or credit cards.

It’s your responsibility to make sure your linked payment methods are valid and active.

7. Refunds & Chargebacks

If a customer requests a refund, it’s up to you to handle it according to your business policy. While Modem Pay does not process refunds directly, we’ll step in to help with disputes when needed.

If a chargeback occurs, you may be charged a fee and will be required to resolve the issue with the customer directly.

8. Activities Not Allowed

You may not use Modem Pay for any illegal or dishonest activity, including:

  • Fraudulent transactions
  • Selling illegal goods or services
  • Money laundering or terrorism financing
  • Infringing on others’ intellectual property
  • Spamming or phishing attempts

We reserve the right to suspend or close your account if we believe you’ve engaged in any of the above.

9. Privacy & Data Protection

Your privacy matters to us. Our Privacy Policy explains how we handle your data. By using our services, you consent to those practices.

As a merchant, you’re also responsible for how you collect and use customer information in line with local laws.

10. Account Suspension or Termination

We may suspend or terminate your account if:

  • You break these Terms
  • We detect suspicious or unlawful activity
  • You don’t pay your fees
  • Your account is inactive for a long time

If your account is terminated, we may delete your data and you may lose access to your transaction history. You can also request to close your account at any time by contacting our support team.

11. Limitation of Liability

Modem Pay is not liable for indirect, incidental, or special damages related to your use of the platform. Our total liability is limited to the fees you’ve paid us in the last 12 months.

12. Indemnity

You agree to hold Modem Pay harmless from any legal claims or losses that result from:

  • Your use of the platform
  • Violation of these Terms
  • Any third-party claims related to your business

13. Legal Jurisdiction

These Terms are governed by the laws of the Republic of Gambia. Any legal disputes will be resolved in Gambian courts.

14. Updates to These Terms

We may occasionally update these Terms. When we do, we’ll notify you via email or in the dashboard. If you continue using Modem Pay after the changes go into effect, it means you agree to them.
